What happens to the IP that is produced by the drug design process?

As with any partnering-focused technology business, IP issues are very important, and we have deal structures to meet our partner's needs on these issues.

IP issues generally fall into one of three categories:

Who owns the IP? We understand partners want to control the timing and strategy around patent filing. We generally allow the partner to control the patent filing process with greater control, and ultimately IP ownership, passing to the partner as the partner’s investment in the partnership increases. In successful partnerships, we deliver the IP to the partner in the form of an assignment or a license, and support the filings as needed.

What happens to partner's data? We "silo" any IP (SAR data, for example) that our partner shares with us, maintaining it in confidence and using it only for that partner's program. Data security is extremely important to us and we ensure that appropriate levels of security exist both internally and externally.

What about exclusivity? Typically, our partnerships include a limitedtime, target-level exclusivity that ensures we do not apply our platform to a potentially competitive project until a reasonable amount of time has elapsed.
